Alphabebe Partner Terms

Article 1 (Purpose and Definitions)

  1. These Terms set out the conditions for taking part in the Alphabebe Partner Program (the "Program") run by TOOEASY Inc. (투이지 주식회사, the "Company"), and the rights and obligations of the Company and its partners.
  2. "Service" means Alphabebe, the AI companion service provided by the Company.
  3. "Partner" means a person who agrees to these Terms, joins the Program and introduces the Service to others.
  4. "Referred Family" means a guardian, and that guardian's account, who signed up for the Service and completed consent through the Partner's link or code and is recorded in the Company's records as the Partner's referral under Article 4.
  5. "Commission" means the amount that accrues to the Partner under these Terms on a Referred Family's payments.
  6. "Payout" means the procedure by which the Partner requests confirmed Commission and the Company pays it.
  7. "Partner Page" means the web pages the Company provides to partners (the public information page and the partner home behind sign-in).
  8. Matters not covered by these Terms follow the Service's Terms of Service, the Privacy Policy, applicable law and general commercial practice. Where these Terms and the Service's Terms of Service differ on the Program, these Terms prevail.

Article 2 (Participation)

  1. You may join the Program at once by verifying your email address and agreeing to these Terms on the Partner Page. There is no separate approval step. A guardian who has signed up for the Service may join with one action from the parent space.
  2. A Partner must be 19 years of age or older. At launch, only persons residing in the Republic of Korea who can receive payouts to an account at a Korean financial institution may join; the Company may widen the eligible regions.
  3. One person may hold only one partner account, under one email address. A corporation or a registered sole proprietor may join in the business's name.
  4. The Company may refuse participation, or suspend a current Partner, without stating a reason when it judges that participation cannot be accepted.
  5. The Partner must keep their email account and sign-in means secure, and activity in the partner account is deemed the Partner's own.

Article 3 (How to Refer, and Prohibited Conduct)

  1. The Partner introduces the Service with the partner link and code the Company provides on the Partner Page. Promotional material the Company provides (copy, images) may be used unaltered, and the Company's trademarks, logos and characters may be used only to introduce the Service within the Program.
  2. Under the Act on Fair Labeling and Advertising and the Korea Fair Trade Commission's Guidelines on Labeling and Advertising of Recommendations and Endorsements, the Partner must make the economic relationship with the Company easy for consumers to recognise in every post, video and message that introduces the Service. Written posts carry "광고" (advertisement) in the title or the first line; videos show it at the start and repeat it during the video; live streams announce it aloud at the start and during the stream. The disclosure must not be hidden behind "more" or among hashtags.
  3. The Partner's introductions must be addressed to parents and guardians. The Service must not be introduced through content aimed at children or posted where children are the main audience.
  4. The Partner must not:
    • send advertising messages by electronic transmission media without the recipient's prior consent (Article 50 of the Act on Promotion of Information and Communications Network Utilization and Information Protection), or send other spam;
    • post the partner link or code on coupon, cashback or points sites or similar services;
    • bid in search advertising on the Company's trademarks, service names (알파베베, Alphabebe, 베베) or their variants and misspellings as keywords, or use domains or accounts likely to be mistaken for the Company's website or accounts;
    • state anything about the trial period, prices, heart gifts, features or effects that differs from, or exaggerates, what the Company has announced (for example, guaranteeing educational or developmental effects, or promising benefits the Company has not set);
    • self-refer: make themselves, family members of the same household, or accounts they control into Referred Families, or seek Commission on their payments;
    • recruit other partners and claim rewards based on their results. The Program is single-level and pays nothing for sub-partners;
    • appear to be an employee, agent or official account of the Company, or speak in the Company's name;
    • generate sign-ups or payments through automated tools, false accounts, repeated payment-and-refund cycles or similar methods;
    • otherwise breach the law, the Service's Terms of Service, these Terms or the rules of each platform.
  5. If the Partner breaches this Article, the Company may void the Commission connected with the breach (both on hold and confirmed), recover Commission already paid, and suspend or terminate the partner account. The Company may withhold payment while it investigates a suspected breach.
  6. The Company has no duty to review the Partner's content in advance; it may request a correction or removal when needed, and the Partner must comply without delay.

Article 4 (Commission)

  1. Recognition of a Referred Family: a family becomes a Referred Family when all of the following are met.
    • After opening the partner link or entering the partner code, the family signs up for the Service and completes consent in the same browser within the period the Company sets (currently 30 days).
    • The family has not signed up for the Service before and is not recorded as the referral of another partner or of an invite code (a family is attributed to one partner only, once only).
    • It is not a self-referral under Article 3(4).
  2. Whether and when a referral occurred is determined by the Company's records (cookies, codes, sign-up records). A referral the Company's records do not capture, for example because the user blocked cookies or signed up on another device, is not recognised.
  3. Commission accrues only on orders that a Referred Family actually paid and that the payment processor (Polar) has settled to the Company. Sign-up, the trial or the use of free hearts alone does not create Commission.
  4. Commission is calculated per order as follows, rounding down to the won.
    • Amount received = payment amount − value-added tax − payment processing fee (as settled by the payment processor)
    • Commission base = amount received × (1 − platform operating fee of 5%)
    • Commission = commission base × rate of 15%
  5. Eligible orders are those paid within 12 months of the Referred Family's first payment date (the first charge and renewals of the monthly and yearly plans, charges on a plan switch, and heart packs). After 12 months no Commission accrues on that family's payments.
  6. Commission is held for 60 days from the payment date and is confirmed if no refund, cancellation or chargeback occurs in that time. A payout cannot be requested before the hold period ends.
  7. If an order is refunded, cancelled or charged back in whole or in part, the Commission on that order is voided or reduced in proportion. If the Commission has already been paid, it is set off against the next payout; if there is nothing to set it off against, the Company may demand repayment.
  8. Payments in won are calculated in won. Payments in foreign currency are converted to won at the exchange rate the Company sets, and no Commission accrues on payments in a currency for which the Company has set no conversion basis.
  9. The Company may change the rate, the method of calculating the base, the eligible period, the hold period and the criteria for recognising a Referred Family. Changes are announced on the Partner Page 7 days before they take effect and apply to orders paid after the effective date. Commission that accrued before the effective date does not change.
  10. Commission is stated before taxes and public charges; the amount paid is the amount after the deductions under Article 5.
  11. The accrual, amount and status of Commission are determined by the Company's payment records and calculations, and the Partner can see the details on the Partner Page. If you have a question about the details, tell us at contact@alphabebe.ai before requesting a payout. The Company corrects any error it confirms.
  12. The Company may give a Referred Family a benefit it sets (currently a gift of hearts) and may change or end it. The Partner has no right to that benefit.

Article 5 (Payouts)

  1. When the confirmed Commission less the amounts deducted under Article 4(7) (the "payable balance") is 200,000 won or more, the Partner may request a payout on the Partner Page. A balance below 200,000 won carries over.
  2. The Company pays into the Korean financial institution account the Partner registered by the last day of the month after the month of the request (Korea Standard Time). The account holder must be the Partner (for a business, that business).
  3. An individual Partner's Commission is treated as business income under the Income Tax Act; 3.3% (income tax 3%, local income tax 0.3%) is withheld and the remainder is paid, each tax rounded down to the won. The Company issues withholding receipts and files payment statements as the law requires.
  4. A business Partner's Commission is inclusive of value-added tax. After requesting a payout, the business Partner must issue a tax invoice (세금계산서; supply value = Commission ÷ 1.1) to the Company, and the Company pays after receiving it. The Company decides, in accordance with the law, how to handle a business that cannot issue a tax invoice.
  5. When requesting a payout for the first time, the Partner must register the payout information in Article 6 accurately. If the information is missing or wrong and payment cannot be made, the Company cancels that payout and the Partner requests again after correcting the information. The Company is not liable for a delay in payment caused this way.
  6. If Commission already paid is reduced under Article 4(7), that amount is set off against the next payout.
  7. The Company bears the bank transfer fee for making the payment. Any fee charged by the Partner's bank, or exchange cost, is borne by the Partner.
  8. The Company may hold a payout until its checks are complete where it suspects a breach of Article 3 or fraud, where the law requires it to stop payment, or where it needs to verify the Partner's information.

Article 6 (Partner Personal Data)

  1. The Company processes the following personal data to run the Program.
    • On joining: email address, Partner Page usage records (access time, IP address, statistics of link visits, sign-ups and payments)
    • On requesting a payout: name (for a business, the business name and representative), contact details, bank name, account number and account holder, resident registration number (individuals) or business registration number (businesses)
  2. The purposes are identifying and signing in the Partner, recording referrals and calculating Commission, making payouts, meeting tax-law obligations such as withholding, payment statements and tax invoices, preventing fraud and handling disputes.
  3. The legal bases are the performance of these Terms (Personal Information Protection Act, Article 15(1)(4)) and compliance with legal obligations (Article 15(1)(2)). The resident registration number is processed under Article 24-2(1)(1) of the Personal Information Protection Act in order to file payment statements under Articles 164 and 164-3 of the Income Tax Act and Article 68(3) of the Enforcement Decree of the Framework Act on National Taxes.
  4. Resident registration numbers and business registration numbers are stored encrypted, and the Partner Page shows only part of the last digits. Account and identity information is kept under restricted access.
  5. Payout information and Commission and payment records are kept for 5 years from the date of the last payment (Framework Act on National Taxes, Article 85-3) and then destroyed without delay. Other information is destroyed without delay when participation ends. Where another law requires longer retention or a dispute is pending, data may be kept until that period ends.
  6. The Company entrusts processing to the following providers. Email delivery: Microsoft Azure Communication Services, Resend. Hosting and storage: Microsoft Azure. Changes to providers or scope are reflected in the Service's Privacy Policy.
  7. The Partner can view and correct payout information on the Partner Page and may request access, correction, deletion or suspension of processing at contact@alphabebe.ai. Information that tax law requires us to keep cannot be deleted during that period.
  8. Matters not covered by this Article follow the Service's Privacy Policy.

Article 7 (Suspension and Termination)

  1. The Partner may end participation at any time by request to contact@alphabebe.ai. Once the request is received, the partner link and code record no new Referred Families, and no Commission accrues on payments after that.
  2. The Company processes the termination on the day all Commission on hold at the time of the request has been confirmed or voided. If the payable balance at termination is at or above the minimum in Article 5(1), the Partner may request a final payout; a balance below the minimum lapses.
  3. If the Partner breaches Article 3 or fraud is suspected, the Company may suspend the partner account without prior notice and may hold the accrual and payment of Commission during its investigation. While suspended, the partner link keeps working for visitors, but no new referrals are recorded and no Commission accrues. If a breach is confirmed, Article 3(5) applies and participation may be terminated.
  4. The Company may end the participation of a Partner who has not signed in to the Partner Page for 12 months or more, has had no referral activity, and has no payable balance.
  5. The Company may end the Program as a whole. It announces this on the Partner Page 30 days in advance, and Commission accrued up to the end date is settled by applying paragraph 2.
  6. Personal data after termination is handled under Article 6.

Article 8 (Liability)

  1. The Partner acts independently and is not an agent, employee or business partner of the Company. The Partner has no authority to represent the Company or make promises in its name.
  2. The Partner is responsible for the content it creates and posts, its labeling and advertising, the messages it sends, and compliance with the law in those matters. If the Company suffers loss through the Partner's breach (including fines, damages and response costs), the Partner compensates it.
  3. Final responsibility for reporting and paying taxes on Commission lies with the Partner. The Company only withholds tax and files payment statements as the law requires.
  4. The Company provides the Program and the Partner Page as they are and does not guarantee any particular income, number of referrals or operation of the link. The Partner Page or referral recording may pause for maintenance, outages, problems at outside providers (payment processor, cloud) or force majeure.
  5. The Company's liability for damages is limited to loss caused by its intent or gross negligence. Save for intent or gross negligence, the Company is not liable for indirect loss, special loss or loss of expected income.
  6. This Article does not limit rights the Partner has under mandatory law.

Article 9 (Changes to the Terms, Governing Law and Jurisdiction)

  1. The Company may change these Terms within the limits of applicable law. It announces the changed content and the effective date on the Partner Page 7 days before they take effect. Important changes that work against the Partner are announced 30 days in advance and also sent to the Partner's email. Changes to the Commission conditions under Article 4(9), however, follow that paragraph.
  2. If the Company, when announcing a change, also states that a Partner who does not object by the effective date is deemed to have agreed, and the Partner does not object and continues using the Program, the Partner is deemed to have agreed to the changed Terms. A Partner who does not agree may end participation under Article 7(1).
  3. The Company may set the details needed to run the Program (promotion rules, payout procedures and the like) in guidance on the Partner Page, which forms part of these Terms.
  4. If part of these Terms is held invalid, the remaining provisions stay in force.
  5. These Terms and the Program are governed by the law of the Republic of Korea. Lawsuits between the Company and the Partner are brought before the court having jurisdiction under the Civil Procedure Act.
  6. These Terms are written in Korean. Where a translation differs from the Korean text, the Korean text prevails.

Supplementary Provision

These Terms take effect on 24 October 2026.
